IMPORTANT: Please read these Terms of Service ("Terms") carefully before using KrewRoster's services. By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and KrewRoster ("Company," "we," "our," or "us") governing your access to and use of our workforce management platform, including our website, mobile applications, and related services (collectively, the "Service").
By creating an account, accessing, or using the Service, you confirm that:
- You are at least 18 years old and have the legal capacity to enter into a binding agreement
- You have read, understood, and agree to be bound by these Terms and our Privacy Policy
- If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms
2. Description of Service
KrewRoster provides a cloud-based workforce management platform that enables businesses to:
- Create, manage, and assign shifts across multiple locations
- Facilitate substitute coverage and shift requests
- Track employee time and attendance with clock in/out functionality
- Manage timesheets and payroll processing
- Send notifications via multiple channels (in-app, email, SMS)
- Control access through role-based permissions
- Support multi-tenant business operations
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We do not guarantee that the Service will be available at all times or that it will be error-free.
3. Account Registration and Eligibility
3.1 Account Creation
To access certain features of the Service, you must create an account by providing accurate, current, and complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use of your account
- Ensuring that your account information remains accurate and up-to-date
3.2 Selective Client Onboarding
As a startup, KrewRoster currently operates a selective client onboarding process. We reserve the right to:
- Accept or decline account registrations at our sole discretion
- Require additional verification or information before approving accounts
- Limit the number of clients we serve at any given time
- Prioritize clients based on business fit, capacity, and other factors
4. User Responsibilities and Acceptable Use
4.1 Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:
- Violate any applicable local, state, national, or international law or regulation
- Infringe upon the intellectual property, privacy, or other rights of any third party
- Upload, transmit, or distribute any viruses, malware, or other malicious code
- Attempt to gain unauthorized access to the Service, other accounts, or computer systems
- Interfere with or disrupt the Service or servers connected to the Service
- Use the Service to transmit spam, unsolicited messages, or harassing communications
- Share your account credentials with others or allow unauthorized access to your account
- Use automated systems (bots, scrapers) to access the Service without our written permission
- Reverse engineer, decompile, or attempt to extract the source code of the Service
- Use the Service in any manner that could damage, disable, or impair our servers or networks
4.2 Data Accuracy and Responsibility
You are solely responsible for the accuracy, completeness, and legality of all data, information, and content you input, upload, or transmit through the Service. We are not liable for any issues, errors, or damages arising from inaccurate, incomplete, or illegal data provided by you.
4.3 Compliance with Employment Laws
You are responsible for ensuring that your use of the Service complies with all applicable employment laws, labor regulations, and workplace policies. This includes, but is not limited to:
- Fair labor standards and wage and hour laws
- Workplace safety regulations
- Employee privacy and data protection requirements
- Anti-discrimination laws
KrewRoster provides tools to assist with workforce management but does not provide legal advice. You should consult with legal counsel regarding compliance with applicable laws.
5. Subscription Plans and Payment Terms
5.1 Subscription Tiers
KrewRoster offers tiered subscription plans, including:
- Free Tier: Limited features available at no cost
- Paid Tiers: Additional features and capabilities available for a subscription fee
Specific features, pricing, and limitations for each tier are detailed on our pricing page, which may be updated from time to time.
5.2 Payment Processing
All payments for paid subscription plans are processed securely through Stripe, a third-party payment processor. By subscribing to a paid plan, you:
- Authorize us to charge your designated payment method on a recurring basis
- Agree to Stripe's terms of service and privacy policy
- Understand that we do not store, process, or have access to your complete payment card information
- Agree to provide current, accurate payment information
5.3 Billing and Renewal
- Subscription fees are billed in advance on a monthly or annual basis, as selected
- Subscriptions automatically renew unless cancelled before the renewal date
- You may cancel your subscription at any time through your account settings
- Cancellation takes effect at the end of the current billing period
- You will continue to have access to paid features until the end of your current billing period
5.4 Refunds
Subscription fees are generally non-refundable. However, we may provide refunds or credits at our sole discretion, or as required by applicable law. Refund requests must be submitted within 30 days of the charge date.
5.5 Price Changes
We reserve the right to modify subscription prices at any time. We will provide at least 30 days' notice of any price increases. Price changes will apply to subsequent billing cycles. If you do not agree to a price change, you may cancel your subscription before the change takes effect.
6. Data Ownership, Privacy, and Security
6.1 Data Ownership
You retain all ownership rights to the data, information, and content you input or upload to the Service ("User Data"). By using the Service, you grant us a limited, non-exclusive, worldwide license to use, store, and process your User Data solely for the purpose of providing and improving the Service.
6.2 Data Security
Your data is protected by Google Cloud infrastructure, which provides enterprise-grade security, encryption, and compliance standards. We implement reasonable technical and organizational measures to protect your User Data against unauthorized access, alteration, disclosure, or destruction.
However, no method of transmission over the Internet or electronic storage is 100% secure. While we strive to protect your data, we cannot guarantee absolute security. You acknowledge that you use the Service at your own risk.
6.4 Third-Party Services
The Service integrates with third-party services, including:
- Stripe: For payment processing
- SMS/Texting Providers: For notification delivery
- Google Cloud: For infrastructure and data storage
These third-party services have their own terms of service and privacy policies. We are not responsible for the practices of these third parties. Your use of these services is subject to their respective terms and policies.
6.5 Data Backup and Recovery
While we implement backup and recovery procedures, you are responsible for maintaining your own backups of critical data. We are not liable for any loss of data due to system failures, user error, or other causes.
7. Intellectual Property Rights
7.1 Our Intellectual Property
The Service, including all software, code, designs, graphics, logos, trademarks, and content, is owned by KrewRoster or our licensors and is protected by copyright, trademark, and other intellectual property laws. All rights not expressly granted to you are reserved.
7.2 License to Use
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. This license does not include the right to:
- Resell, sublicense, or distribute the Service
- Modify, adapt, or create derivative works of the Service
- Reverse engineer, decompile, or disassemble the Service
- Remove or alter any copyright, trademark, or proprietary notices
7.3 User Content
You retain ownership of User Data you provide. By submitting User Data, you represent that you have the right to do so and that such data does not violate any third-party rights or applicable laws.
8. Limitation of Liability
8.1 Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
We do not warrant that:
- The Service will be uninterrupted, secure, or error-free
- Defects will be corrected
- The Service is free of viruses or other harmful components
- The results obtained from using the Service will meet your requirements
8.2 Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, KREWROSTER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, data, or business opportunities
- Cost of substitute services
- Damages for personal injury or property damage
- Any other damages arising from your use or inability to use the Service
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
8.3 Exclusions
Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.
9. Indemnification
You agree to indemnify, defend, and hold harmless KrewRoster, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your use of or access to the Service
- Your violation of these Terms
- Your violation of any third-party rights, including intellectual property or privacy rights
- Any User Data you submit, post, or transmit through the Service
- Your violation of any applicable law or regulation
10. Termination
10.1 Termination by You
You may terminate your account at any time by contacting us at contact@krewroster.com or through your account settings. Upon termination:
- Your right to use the Service will immediately cease
- You remain responsible for all charges incurred up to the termination date
- We may delete your account and User Data in accordance with our data retention policies
10.2 Termination by Us
We reserve the right to suspend or terminate your account and access to the Service immediately, without prior notice, if:
- You violate these Terms or our Privacy Policy
- You engage in fraudulent, illegal, or harmful activities
- You fail to pay subscription fees when due
- We are required to do so by law or court order
- We determine, in our sole discretion, that termination is necessary to protect our rights, property, or safety, or that of our users or third parties
10.3 Effect of Termination
Upon termination, all licenses and rights granted to you will immediately cease. Sections of these Terms that by their nature should survive termination (including but not limited to Sections 6, 7, 8, 9, and 12) shall survive termination.
11. Modifications to Terms and Service
11.1 Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by:
- Posting the updated Terms on our website with a new "Last Updated" date
- Sending an email notification to the address associated with your account
- Displaying a notice within the Service
Your continued use of the Service after such changes constitutes your acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and terminate your account.
11.2 Changes to Service
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.
12. Dispute Resolution
12.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which KrewRoster operates, without regard to its conflict of law principles.
12.2 Dispute Resolution Process
In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Service, the parties agree to first attempt to resolve the dispute through good faith negotiations. If the dispute cannot be resolved through negotiation, the parties agree to submit to binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.
12.3 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.
13. General Provisions
13.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and KrewRoster regarding the Service and supersede all prior agreements and understandings.
13.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
13.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing.
13.4 Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms or our rights and obligations hereunder without restriction.
13.5 Force Majeure
We shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or failures of third-party services.
13.6 Notices
All notices required or permitted under these Terms shall be in writing and delivered via email to the address associated with your account (for notices to you) or to contact@krewroster.com (for notices to us).
